The rules for using our website and for the services you buy from us.
Who we are and when these terms apply
M&P Digital Agency is a brand operated by MandP Supply LLC. These terms apply when you use our website, book a call, approve a proposal or pay for a service.
If you sign a separate written agreement with us, that agreement controls where it differs from these terms. Otherwise, the order of priority is: signed agreement, approved proposal or invoice, then these terms and our other policies.
Our services are for businesses. By buying a service, you confirm you are at least 18 years old and have authority to act for your business.
What we sell
We design, set up and support digital systems for businesses: automation systems, funnels and lead generation, AI agents for chat, text, email and voice, custom business apps, AI document automation (reading invoices, receipts, forms and contracts), AI assistants that answer your team from your own documents, review and reputation automation, database reactivation campaigns, Google and AI search visibility, AI-assisted creative production (videos, ads and social content), websites, and managed hosting and website care.
Most work is a one-time project (setup and implementation), a monthly service (hosting, website care, ongoing management or support), or a combination of both. The exact deliverables, timeline, price and billing schedule are set out in your proposal, invoice or checkout page.
Scope and changes
We deliver what the approved scope describes. Requests outside that scope, such as new features, extra pages, additional workflows or more revisions than included, are quoted separately and start after you approve them.
We may recommend tools or approaches, but you decide whether they fit your business, budget and compliance needs.
Your responsibilities
You agree to give us accurate information, the access we need, your content and approvals on time. Delays on your side may move timelines and launch dates.
You are responsible for the claims, offers and prices published in your materials, and for following the laws and platform rules that apply to your business, including consent for calls, text messages and emails sent to your customers.
Payments and billing
Prices and payment terms are stated in your proposal, invoice or checkout page. Payments are processed by Stripe or another method we agree on in writing.
Projects may require an upfront payment or deposit before work is scheduled. Monthly services are billed in advance each month and renew automatically until canceled as described in our Refund & Cancellation Policy.
If a payment is late, we may pause work or the related service after notifying you. You are responsible for applicable taxes.
Third-party tools and costs
Some projects need third-party tools or services, such as software subscriptions, hosting, domains, phone numbers, messaging fees, AI usage, ad spend or stock assets. The proposal states whether these are billed by us, paid directly by you or included in a monthly service.
Third-party tools have their own terms, pricing and availability. We are not responsible for their outages, policy changes, account suspensions or price changes, but we will help you work through them within the agreed scope.
Refunds and cancellations
Refunds and cancellations are handled as described in our Refund & Cancellation Policy, which is part of these terms.
AI-assisted work
Some services use AI tools. AI output can be wrong or incomplete, so customer-facing content, scripts and workflows are reviewed before launch and you give final approval unless we agree otherwise in writing. See our AI Services Disclaimer for details.
Text messages (SMS)
If you give us your mobile number and agree to receive text messages, we may text you about your inquiry, appointment reminders and service updates. Message frequency varies. Message and data rates may apply.
Reply STOP to cancel at any time and HELP for help, or email us at [email protected]. Consent to receive texts is not a condition of buying any service.
We do not sell, rent or share mobile phone numbers or text-messaging consent with third parties or affiliates for their marketing purposes. Information is shared only with the providers that deliver the messages for us.
Ownership and use of work
You keep ownership of the content, data and brand assets you give us, and you confirm you have the rights to use them.
Once paid in full, you may use the final custom deliverables we create for you (such as copy, designs, videos and website content) for your business. We keep ownership of our pre-existing methods, templates, code libraries and know-how, and you receive the right to use them as part of your deliverables. Software and accounts from third parties remain subject to their own licenses.
We may mention that we worked with your business, without sharing confidential information, unless you ask us not to in writing.
Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law.
No guarantee of results
We do not guarantee specific business results, such as revenue, sales, leads, ad performance, search rankings or platform approvals. Results depend on factors outside our control, including your offer, market, pricing, traffic, ad spend, data quality, how your team follows up and the rules of third-party platforms.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, such as lost profits, lost revenue, lost data or business interruption.
Our total liability for any claim related to a service is limited to the amount you paid us for that service in the 3 months before the claim arose.
You agree to indemnify us against claims arising from your content, your instructions, your customer lists or your violation of law or of these terms.
Suspension and termination
Either party may end a service as described in the approved agreement and our Refund & Cancellation Policy. We may suspend or end a service for non-payment, illegal or abusive use, a violation of our Acceptable Use Policy or a serious breach of these terms.
Governing law and disputes
These terms are governed by the laws of the State of New Mexico and applicable U.S. federal law, without regard to conflict-of-law rules.
If a dispute comes up, please email [email protected] first. Both parties agree to try in good faith to resolve it informally within 30 days before starting any formal proceeding. Either party may still bring an eligible claim in small claims court.
Other terms
Neither party is responsible for delays caused by events outside its reasonable control. If any part of these terms is unenforceable, the rest remains in effect. We may update these terms; changes apply from the date shown at the top and do not change an approved proposal already in progress.
